TERMS AND CONDITIONS
Definitions In these conditions “the Company” means AdRodeos Media and “The Advertiser” means the other party to this agreement.
1. Operation of Units When operating the AdRodeos units the Company reserves the right to refuse requests from “the Advertiser” for any method of operation or positioning of the units which it considers dangerous or illegal or likely to cause damage to either person or property.
2. Loss of Advertisers property “The Company” will endeavour to keep good and proper care of any equipment, product, or literature placed in its care by “the Advertiser” during the contract period, however “the Company” shall not be liable for any loss or damage, howsoever caused.
3. Trade Descriptions Act 1968/British Codes of Advertising and Sales Promotion “The Advertiser” warrants that no material or information supplied to “the Company” will constitute a false trade description or in anyway contravene the Trade Descriptions Act 1968 or be contrary to the British Codes of Advertising and Sales Promotion. The Company reserves the right to not display any poster on the bikes which it feels to be contrary to the above codes or will be offensive or misleading in any way to the General Public
4. Bankruptcy or Liquidation of Advertiser If “the Advertiser” shall become bankrupt or will make any composition with his creditors or being a company shall enter into liquidation or if a receiver shall be appointed of any part of “the Advertisers” undertaking or if there shall be a breach by the advertiser of any of the terms or conditions of the Agreement ,“the Company “ shall be entitled to remove the advertisements from display, and charge “The Advertiser” for the cost thereof together with any loss or profit on the campaign display until its contractual finishing date.
5. Notices Any notice given by “the Company” under the Agreement shall be deemed to be effectively served when sent by first class post addressed to the advertiser at the advertisers last known place of business or at “the Advertisers” registered office as the case may be but such mode of service shall not be obligatory.
6. Travelling Costs Travelling costs and expenses including overnight accommodation for promotions conducted outside Leeds will be negotiated between “the Company” and “the Advertiser” on a contract by contract basis”.
7. Weather AdRodeos reserve the right to not operate bike units due to adverse weather conditions. This is particularly with regard to extreme high winds, storm, or flood. In the case of lost days due to adverse weather conditions,” the Advertiser ” can either elect for monetary compensation to the value of the days, day, or part of the day lost, or alternatively can elect to require ”the Company “ to work lost days as full compensation to the value of time lost. This time can either be taken at the end of the promotional period or can be held in lieu for future promotions.
8. Payment Terms “The Advertiser” shall pay the amount due to “the Company “ within 30 days of the end the contract period or a demand for the same being sent to the last known address either by first class post, or personally. If the Advertiser fails to pay any invoices on the due date, the Company can levy an additional charge at the rate of 2.5% of the total amount of the invoice per month, every month until the invoice is paid.
9. Cancellation Receipt by the Company of the Company’s ‘Confirmation of Order Form’ signed by The Advertiser will be deemed as contractually binding and as proof of notice of these Terms and Conditions. In the event of The Advertiser cancelling the promotion, the Advertiser will be charged 50% of the cost of the promotion, and if the cancellation is within one week of the promotion commencement date the Advertiser will be charged the full cost of the promotion.
